Terms of Service

1. Agreement

These Terms of Service govern your use of FC Tactix, which is operated by NEXTON INTERACTIVE LIMITED. By accessing or using the Service, you agree to these Terms, our Privacy Policy, and our Cookie Policy.

2. Eligibility

You must be at least 18 years old to create or use an account. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

Youth players may appear in club or team records managed by authorized adult users, but minors may not create accounts or use the Service directly at launch.

3. The Service

FC Tactix is a football coaching and tactics platform that may include:

• Interactive 2D and 3D tactics boards
• Formations, annotations, animations, and presentations
• Drill editing and session planning
• Team, club, and player development workflows
• Exports, sharing, and collaboration features
• Board AI play generation on the tactics board

Features may change over time. Some features may be limited, paused, experimental, or marked as coming soon.

4. Accounts and Security

You agree to:

• Provide accurate account information
• Keep your credentials confidential
• Notify us promptly about suspected unauthorized access
• Use the Service only through authorized means
• Be responsible for activity under your account

We may suspend or terminate accounts that violate these Terms or create security, legal, or operational risk.

We may send service-related communications needed to operate your account or the Service, including verification, billing, support, security, legal, and administrative notices. If you ask for launch updates or otherwise opt in to marketing communications, we may also send product updates, launch announcements, and offers subject to applicable law. Marketing communications will include an unsubscribe method.

5. Clubs, Teams, and Player Records

If you use the Service on behalf of a club, academy, school, or team, you represent that you are authorized to do so and to bind that organization where relevant.

You are responsible for ensuring that any player, guardian, or health-related data you upload is lawful to collect, lawful to share with the Service, accurate to the best of your knowledge, and limited to what is reasonably necessary for the coaching or team-management purpose.

Do not upload youth, guardian, or health-related data unless you have the authority, notices, and consents required by applicable law.

6. Subscriptions and Billing

Paid subscriptions are processed through Polar. Subscription plans may renew automatically unless canceled before the next billing cycle.

• You may cancel a paid plan before renewal.
• Plan features, seat limits, and pricing may differ by tier.
• Except where required by law or stated at checkout, fees are non-refundable.
• We may change pricing or plan structure in the future with reasonable notice.

7. User Content

You retain ownership of the content you create or upload, including boards, drills, sessions, evaluations, player records, and related materials. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt, and display that content only as needed to operate, secure, improve, and provide the Service.

If you publish content to a public library or share it through a link, other people may view, copy, or reuse it as permitted by the relevant feature.

8. Sharing and Public Visibility

Share links make content accessible to anyone who has the URL. We do not intend shared-link pages to be indexed in search engines and we may apply technical measures such as noindex signals and sitemap exclusion, but we cannot guarantee that a recipient or third party will not redistribute, capture, or expose the content after you share it.

You are solely responsible for the information you choose to publish or share.

9. AI Features

At launch, the only live AI feature is board AI play generation on the tactics board. When you use it, relevant board content and prompts are sent to OpenAI for processing. Depending on what you include, this may contain tactical notes, labels, player names, or other context you choose to submit.

You must not submit content to AI features unless you are authorized to do so. AI output is provided for planning and idea-generation purposes only. It may be inaccurate or incomplete and should always be reviewed by a human user before use.

Other AI workflows may appear in the product as coming soon or unavailable and are not part of the launch feature set unless we explicitly enable them.

10. Acceptable Use

You must not:

• Use the Service unlawfully or in violation of others' rights
• Attempt unauthorized access to accounts, data, or systems
• Upload malware, harmful code, or abusive content
• Scrape, harvest, or extract data at scale without permission
• Circumvent access controls, rate limits, or subscription rules
• Share confidential, youth, guardian, or health data publicly without authority
• Use the Service to build or operate a competing service through unauthorized extraction

11. Third-Party Services

The Service relies on third-party providers such as hosting, database, email, analytics, collaboration, payment, and AI vendors. Your use of certain features may also involve those providers' terms and privacy policies.

12. Availability and Changes

We may modify, suspend, or discontinue any part of the Service at any time. We do not promise uninterrupted availability and we are not responsible for outages caused by third-party providers, internet failures, or events outside our reasonable control.

13. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Limitation of Liability

To the fullest extent permitted by law, NEXTON INTERACTIVE LIMITED and its directors, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising out of or related to the Service.

Our total aggregate liability for claims arising out of the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 100.

15. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you have violated these Terms, created legal risk, harmed the Service, or misused the platform.

Provisions that by their nature should survive termination, including provisions on payment, intellectual property, disclaimers, liability limits, dispute resolution, and indemnity, will survive.

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Kenya. The courts of Nairobi, Kenya will have exclusive jurisdiction over disputes arising from these Terms or the Service, except to the extent that non-waivable consumer rights in your home jurisdiction require otherwise.

Before filing a claim, you agree to contact us at contact@fctactix.com and try to resolve the issue informally first.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the date at the top of this page and may provide additional notice where appropriate. Continued use of the Service after the updated Terms take effect means you accept the revised Terms.
